2. Access to Secure Investor Portal

Access to the restricted Investor Portal is exclusively reserved for validated Limited Partners (LPs) who have been issued individual credential parameters. You are solely responsible for maintaining the strict confidentiality of your access credentials. Any activity originating from your account shall be deemed your authorized act. We reserve the absolute right to terminate, suspend, or restrict portal access at any time, without prior notice, for security or compliance infractions.

3. Trans-Tasman Governing Law and Concurrent Jurisdiction

These Terms of Use, and any non-contractual obligations arising out of or in connection with them, are governed by and must be construed in accordance with the laws of the State of New South Wales, Australia. Any legal suit, action, or proceeding arising out of these Terms shall be brought concurrently in the courts of New South Wales, Australia, or the High Court of New Zealand (Auckland Registry). You irrevocably submit to the non-exclusive jurisdiction of these courts.
